Today, February 10, 2023, is the last day for trading in the warrants of series TO 1 (“Warrants”) in JonDeTech AB (“JonDeTech” or the “Company”). The subscription period for the Warrants runs until February 15, 2023. One (1) Warrant gives the right to subscribe for one (1) new share in JonDeTech at a subscription price of SEK 0.42 per share.
If all Warrant are exercised for subscription of shares, JonDeTech will receive approximately SEK 24.4 million before issue costs. In order for the Warrants not to lapse without value, the holder must actively subscribe for shares no later than February 15, 2023, or alternatively sell Warrants no later than today, February 10, 2023. Please note that some trustees may close their registration earlier than February 15, 2023.
Terms for the Warrants:
- Subscription period: 1 – 15 February 2023
- Issue volume: 58,108,220 Warrants, corresponding to 58,108,220 shares upon full exercise. Upon full exercise of the Warrants, the Company will receive approximately SEK 24.4 million before issue costs
- Subscription price: SEK 0.42 per share
- Last day for trading in Warrants: 10 February 2023
- Planned date for press release on outcome: 17 February 2023
- Planned date for conversion to shares: 24 February – 2 March 2023
Note that Warrants that have not been actively sold by February 10, 2023, at the latest or alternatively have exercised for subscription of shares by February 15, 2023, will expire and lose their value.
Exercise of Warrants
Trustee-registered Warrants
If the warrant holder holds Warrants in a deposit account, in an investment savings account or endowment insurance (trustee-registered holdings), subscription and payment will take place with the trustee, which will provide further instructions on how to exercise the Warrants. The warrant holder should contact their trustee well in advance for further instructions regarding exercising of the Warrants.
Directly registered Warrants (securities account)
Registration is done through a registration form available on the websites of Vator Securities and JonDeTech. Payment is made in accordance with the instructions on the registration form. Both the registration form and payment must be submitted to Vator Securities by 5:00 p.m. CET on February 15, 2023, at the latest.
