The extraordinary general meeting of JonDeTech Sensors AB (publ), reg.no. 556951-8532, (the “Company“), was held on Thursday 2 March 2023 at the premises of Eversheds Sutherland Advokatbyrå, Strandvägen 1, Stockholm. The following resolutions were adopted by the required majority at the meeting:
Resolution on a directed share issue to Novel Unicorn Limited
The extraordinary general meeting resolved on a directed issue of 7,050,000 shares to Novel Unicorn Limited, a company controlled by board member Dave Wu. The subscription price per share is SEK 0.5 and the issue will increase the share capital by SEK 269,433.615.
Resolution to enter into a consultancy agreement with Wiser Unicorn Limited (related party transaction)
The extraordinary general meeting resolved to approve the conclusion of the consultancy agreement that the Company entered with Wiser Unicorn Limited on 9 February 2023 and which was announced by press release on the same day.
Resolution on a directed share issue to Wiser Unicorn Limited
The extraordinary general meeting resolved on a directed issue of 4,615,384 shares to Wiser Unicorn Limited, a company controlled by board member Dave Wu. The subscription price per share is SEK 0.65 and the issue will increase the share capital by SEK 176,388.595.
Resolution authorising the Board of Directors to make minor adjustments to the resolutions adopted at the extraordinary general meeting.
The extraordinary general meeting resolved to authorise the Board of Directors, the Managing Director or the person otherwise appointed by the Board of Directors to make such minor adjustments and clarifications to the resolutions adopted at the extraordinary general meeting to the extent necessary for the registration of the resolutions.
