Articles of association for JonDeTech Sensors AB (publ) Org. No. 556951-8532

Adopted at the extraordinary general meeting on October 16, 2023

§1
The company’s firm is JonDeTech Sensors AB (publ).

§2
The board shall have its seat in the municipality of Stockholm.

§3
The company shall own, manage and develop sensor and computer technology as well as activities compatible therewith.

§4
The share capital must be a minimum of SEK 5,500,000 and a maximum of SEK 22,000,000.

§5
The number of shares must be a minimum of 900,000,000 and a maximum of 3,600,000,000.

§6
The board shall consist of a minimum of 3 and a maximum of 10 members with a maximum of 5 deputies.

§7
An auditor is appointed for the examination of the company’s accounts together with the annual report and the administration of the board and the managing director.

§8
Notice of the general meeting must always be given by advertisement in Post- and Inrikes Tidningar and on the company’s website. The fact that a summons has taken place must be announced in a national newspaper. Advertising must take place in Svenska Dagbladet.

§9
Those shareholders who are entered in the share register in the manner prescribed in the Swedish Companies Act and who have registered with the company no later than the day stated in the notice to the meeting have the right to participate in the meeting. This day must not be Sunday, another holiday, Saturday, Midsummer’s Eve, Christmas Eve or New Year’s Eve and not fall earlier than the fifth, the weekday before the general meeting. If shareholders intend to bring assistants, the number of assistants must be stated in the notification.

§10
At the annual general meeting, the following matters (agenda) must be considered:

Election of the chairman at the meeting
2. Approval of the agenda
3. Establishment and approval of the voter register
4. Election of one or two auditors
5. Examination of whether the meeting has been duly convened
6. Presentation of the annual report and the audit report and, where applicable,
the group accounts and the group audit report
7. Decision on
a/ determination of income statement and balance sheet and, where applicable, consolidated income statement and consolidated balance sheet
b/ dispositions regarding the company’s profit or loss according to the determined balance sheet
c/ discharge of liability for the board members and managing director
8. Determination of fees for the board, auditor and possible deputy auditor
9. Election of the board and, where applicable, auditor
10. Other matter that comes to the meeting according to the Swedish Companies Act (2005:551) or
the articles of association

§11
The board may collect powers of attorney at the company’s expense according to the procedure stated in ch. 7. Section 4, second paragraph of the Swedish Companies Act. The board may also, prior to a general meeting, decide that the shareholders shall be able to exercise their voting rights by post according to the procedure specified in ch. 7. Section 4a, second paragraph of the Swedish Companies Act.

§12
The company’s shares must be registered in a reconciliation register according to the Act (1998:1479) on central securities and account management of financial instruments.

13
The company’s financial year shall be 1/1 – 31/12.
